Purpose


Da Barimmarr’Berguklimos, referred to in common parlance as the Dwarven Merchants Guild, is a collective trading organization designed to promote the material interests of its members and of the Grand Kingdom of Urguan. The Dwarven Merchants Guild shall achieve this goal through the negotiation of trade deals, acquisition of rare and valuable items and materials, and the procurement of property to serve as trading centers and shelters for members, both within Urguan and abroad.

In order to promote membership and to present a unified trading front, any citizen of the Grand Kingdom of Urguan who wishes to own a shop stall or other trading venue within the capital city of the Grand Kingdom must be a member of the Dwarven Merchants Guild. The Dwarven Merchant’s guild shall charge no dues or taxes for any member, while all taxing and management of property within the lands of Urguan and its vassals, shall remain under the purview of the Grand King and his designated officials.

 

A certain amount of shop stalls or space for trading venues should be reserved within the capital for foreign trading partners to utilize under terms negotiated by the Dwarven Merchants Guild.

 

-Negotiation-

 

Designated members of the Dwarven Merchants Guild shall be issued Warrants of Trade. Such warrants afford designated members the right to negotiate trade deals on behalf of the guild and the Grand Kingdom. Without prior approval, designated members shall be allowed to negotiate mutual shop-exchange treaties with foreign realms. All other treaties negotiated by designated guild members remain subject to ultimate approval by the Lord Merchant, the Grand King, and his designated officials.

 

Warrants of trade shall be issued with the following language:

 

This warrant of trade, issued on XX, hereby designates [FIRST NAME] [CLAN NAME] as an official trading representative of Da Barimmarr’Berguklimos, the Dwarven Merchants Guild. [FIRST NAME] [CLAN NAME] carries the right to negotiate matters of trade and commerce on behalf of Da Barimmarr’Berguklimos and the Grand Kingdom of Urguan, pending ultimate approval by the Grand King and his designated officials. XX should be treated with all due courtesy afforded to diplomatic representatives of the Grand Kingdom of Urguan.

 

All warrants of trade shall be sealed with the crest of the Dwarven Merchants Guild and shall be signed by the Grand Merchant at the time of issuance.

The Dwarven Merchants guild is a collective trading organization headed by the Lord Merchant. 

 

-The Lord Merchant-

 

The Lord Merchant shall be appointed by the Grand King of Urguan. The primary duties of the Lord Merchant shall be to arrange meetings of the Dwarven Merchants Guild, to set the agenda for guild goals and activities, to issue warrants of trade, to manage guild resources, and to facilitate the admittance of new members to the guild. 

 

The Lord Merchant should strive whenever possible to make any decisions regarding the welfare of the guild and it’s members with concurrence from a majority of guild members.

 

The Lord Merchant shall oversee the transfer of guild resources to the coffers of the Grand Kingdom of Urguan at rates negotiated with the Grand King, or the National Treasurer, for the mutual benefit of the guild, its members and the Grand Kingdom.

 

-Members-

 

Members of the Dwarven Merchants Guild shall be admitted and, if necessary, removed from the guild by the Lord Merchant. At guild meetings, all members shall have an equal voice in any matter which comes down to voting.

 

-Rights of Members-

 

Members shall be afforded the right to own a shop stall or other trading venue within the capital city of the Grand Kingdom of Urguan, subject to additional approval and requirements set forth by the Grand King and his designated officials.

 

Members shall be afforded the right to sell their goods and take shelter at any shop stall, trading venue, or other property managed collectively by the guild, both within Urguan’s lands and abroad. 

 

Members shall be afforded the right to tap into guild coffers and resources to negotiate trade deals which will serve to mutually benefit the guild, pending ultimate approval by the Lord Merchant. The negotiating member shall be awarded a commission deemed appropriate by the Lord Merchant for the negotiation of such deals.

 

Members may preferentially purchase from the guild any materials, items, or other resources which the guild is in possession of at an appropriate market rate, or other terms deemed mutually beneficial by the Lord Merchant.

 

Members' contributions to the overall welfare of the guild and the Grand Kingdom shall be considered by the Lord Merchant in the event of any disbursement of profits or awards from guild coffers.

 

Members shall be afforded the right to raise grievances and disputes regarding trade at guild meetings. If the grievance is with another guild member, the dispute shall be resolved through a settlement overseen by the guild, or by a simple majority vote of attending guild members of 5 or more if a negotiated settlement is not possible. 

 

The guild shall work collectively to eliminate any grievances or competition posed by non-member entities that are deemed to be against the guild’s or the Grand Kingdom of Ugruan’s interests.
